1. Acceptance of Terms
By engaging Miller Consulting for services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms constitute a binding agreement between you ("the Client") and Miller Consulting ("the Consultant").
2. Description of Services
Miller Consulting provides procurement and supply chain consulting services, including but not limited to:
- Supply chain assessment and rebuild
- Cost management and optimisation
- Supplier sourcing and vetting
- Contract negotiation services
- Procurement strategy development
The specific scope of services will be detailed in a separate Statement of Work or Engagement Letter for each engagement.
3. Client Responsibilities
The Client agrees to:
- Provide timely access to relevant information, personnel, and systems as required
- Designate a primary contact responsible for coordinating with the Consultant
- Respond promptly to requests for decisions and approvals
- Ensure that information provided is accurate and complete
- Pay all fees in accordance with the agreed payment schedule
4. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the engagement. This includes business plans, supplier information, pricing data, and operational processes. This obligation survives the termination of our agreement.
Confidential information does not include information that is publicly available, independently developed, or rightfully received from third parties.
5. Intellectual Property
All deliverables created by Miller Consulting for the Client shall be owned by the Client upon full payment of all fees. Miller Consulting retains the right to use general methodologies and frameworks developed during the engagement for future work, provided no Client-specific confidential information is disclosed.
6. Limitation of Liability
To the maximum extent permitted by law, Miller Consulting's liability under this agreement is limited to the fees paid by the Client for the specific service giving rise to the claim. Miller Consulting shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, savings, or business opportunities.
The Client acknowledges that procurement outcomes depend on many factors beyond the Consultant's control, including market conditions, supplier performance, and internal implementation capability.
7. Fees and Payment
Fee structures will be agreed upon before each engagement and documented in a Statement of Work. Payment terms are typically:
- 50% of estimated fees upon engagement commencement
- 50% upon delivery of final recommendations
All fees are exclusive of GST. Expenses incurred during the engagement will be billed at cost with prior approval.
8. Termination
Either party may terminate an engagement with 14 days written notice. Upon termination:
- The Client will pay for all services rendered up to the termination date
- Miller Consulting will deliver all completed work products
- Both parties will return or destroy confidential information of the other party
9. Professional Conduct
Miller Consulting conducts all engagements with integrity and in accordance with professional standards. We expect reciprocal professional conduct from Clients and their representatives throughout our working relationship.
10. Governing Law
These Terms of Service are governed by the laws of New South Wales, Australia. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
For Clients based in New Zealand, services are provided in accordance with applicable New Zealand law.
